<p><strong>INDIA:</strong> Meesho Limited, a multi-sided technology platform that drives e-commerce in India by bringing together four key stakeholders – consumers, sellers, logistics partners, and content creators &#8211; has filed its Updated Draft Red Herring Prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI).</p>



<p>The proposed initial public offering comprises a fresh issue of equity shares aggregating up to ₹4,250 crore, each with a face value of ₹ 1, and an offer for sale of up to 17,56,96,602 equity shares, also with a face value of ₹1, by selling shareholders. The offer for sale comprises of equity shares by Elevation Capital V Limited, Peak XV Partners Investments V, Highway Series 1, a Series of Venture Highway SPVs LLC, Y Combinator Continuity Holdings I, LLC, Golden Summit Limited, VH Capital,  VH Capital XI (Corporate Selling Shareholders), Vidit Aatrey, Sanjeev Kumar (Promoter Selling Shareholders) and Man Hay Tam (Individual Selling Shareholder).</p>



<p>The Company proposes to utilize the Net Proceeds towards funding the following: investment for cloud infrastructure in Meesho Technologies Private Limited, the Subsidiary; payment of salaries of existing and replacement hires for the Machine Learning and AI and technology teams for AI and technology development undertaken by Meesho Technologies Private Limited, the Subsidiary; investment in Meesho Technologies Private Limited, the Subsidiary, for expenditure towards marketing and brand initiatives; and funding inorganic growth through acquisitions and other strategic initiatives as well as general corporate purposes.</p>



<p><a></a>In FY25, Meesho emerged as <strong>India’s largest e-commerce platform by Annual Transacting Users</strong> and annual Placed Orders among e-commerce players in India. The platform connected over <strong>500,000 transacting sellers with ~199 million Annual Transacting Users, facilitating ~1.8 billion Placed Orders during the ye</strong>ar &#8211; a true reflection of our focus on making e-commerce affordable, accessible, and engaging for consumers across India.</p>



<p><strong>Meesho’s Annual Transacting Users grew ~28% year-on-year in FY25</strong> and continues to show <strong>significant traction across India, with Annual Transacting Users (ATU) for the Last Twelve Months (LTM) ending June 2025 reaching ~213 million. Between FY23 and FY25, order frequency improved from 7.5x to 9.2x per year and 9.4x for the last twelve months ended June 2025</strong>, highlighting rising engagement and trust as we continue to enhance discovery and experience across the platform.</p>



<p><strong>Total orders increased from ~1 billion in FY23 to ~1.8 billion in FY25, and recorded ~562 million for the three months ended June 30, 2025, ~50% year-on-year growth in Q1 FY26</strong>. Growth in Placed Orders during Fiscal 2025 was driven by strong momentum across India, including orders from the Top 8 cities,<strong> which grew by ~46% compared to overall platform growth of ~37%.</strong></p>



<p>Building on this scale, the <strong>Net Merchandise Value (NMV) grew ~29% year-on-year to INR  ₹29,988 crores in FY25, following ~21% growth in FY24.</strong> In Q1FY26, NMV growth further <strong>accelerated to ~36% year-on-year, reaching INR 8,679 crores</strong>. Growth investments and improved value proposition of the platform through better pricing, discovery, and assortment have led to this acceleration of NMV.</p>



<p>In e-commerce, NMV refers to the cumulative checkout value of successfully delivered orders, inclusive of taxes. It is a core measure of platform health as it reflects the strength of customer adoption and repeat usage, making it a key driver of revenue, margins, and cash flow across the ecosystem.</p>



<p><strong>Demonstrating a remarkable turnaround, Meesho became the largest free cash flow generator among scaled listed e-commerce companies in India in FY25. Last Twelve Months Free Cash Flow swung from negative INR 2,336 crore to a positive INR 1,032 crore (with interest income) and INR 591 crore (excluding interest income),</strong> reflecting the benefits of an asset-light, capital-efficient model that allows the company to grow scale and depth without significant capital outlay.</p>



<p>Loss (before tax and exceptional items) narrowed from INR 1,672 crores in FY23 to INR 108 crores in FY25, even as we increased investments in technology and user acquisition to strengthen our growth trajectory.</p>



<p>The net loss for FY25 stood at INR 3,942 crores, primarily due to one-time exceptional items, including reverse flip tax and perquisite tax, which were necessary for the company’s transition to a public structure.</p>



<p>In Q1 FY26, they continued to invest in growth, driving <strong>NMV up ~36% year-on-year for the corresponding period and reaching ~562 million orders</strong>, showing growth of ~50% for Placed Orders. As the company expanded in scale, related costs such as server and technology expenses increased, reflecting the investments required to support the platform’s growth. As a result, the quarter’s loss before exceptional items was INR 148 crores, and net loss was INR 289 crores, consistent with the strategic investments they are making to grow market share.</p>



<p>FY25 and Q1 FY26 reaffirmed Meesho’s leadership in democratizing internet commerce for everyone. The company remains focused on broadening market reach, creating long-term value for the ecosystem, and building a sustainable foundation for the next phase of growth.</p>



<p>Kotak Mahindra Capital Company Limited, J.P. Morgan India Private Limited, Morgan Stanley India Company Private Limited, Axis Capital Limited, and Citigroup Global Markets India Private Limited are the Book Running Lead Managers to the issue.</p>

SCOA provides free, industry-relevant training to young people from underserved local catchment areas to assist them in succeeding in the rapidly increasing e-commerce sector and strengthening the local supply chain ecosystem. <strong>SCOA trained over 3,000 candidates in 2024, with 20% women, illustrating Flipkart&#8217;s commitment to diversity and inclusion.</strong> Participants get real-world operational skills through a 45-day hands-on experience at Flipkart facilities and online classroom sessions.</p>



<p>The specific program reaches the local catchment youth, women, eDAB (persons with disabilities), defense personnel, and people of the transgender community, to improve their employability within the e-commerce sector.</p>

<p><strong>INDIA:</strong> Flipkart, India’s homegrown e-commerce market, has partnered and signed an MoU with the Department for Promotion of Industry and Internal Trade (DPIIT) to support and empower tech start-ups in India. Aimed at encouraging the growth of innovators and entrepreneurs, the partnership further builds on existing efforts under the Flipkart Leap and Ventures initiative with its USD 100 mn fund. To date, the company has invested in 20 companies and continues to identify startups with high growth potential.</p>



<p>This collaboration will enable access startups to industry reports, research papers, datasets, and other studies published by government authorities for market research and fast-track patent applications filed by startups for timely opportunities.</p>



<p>Reinforcing its commitment to fostering tech advancements in India, Flipkart will provide resources, guidance, and support for different milestones, such as prototype development, and offer connections and insights for international expansion. The company will also provide startups with infrastructural support and access to a stronger network of opportunities, including evaluation for funding under the Flipkart Ventures initiative.</p>



<p>Through the MoU, DPIIT will also enable accessibility and connections to Startup India’s ecosystem and network for greater program adoption, reach, and participation.</p>

<p><strong>NEW DELHI:</strong> Dubai-based retail giant the <strong>Landmark Group</strong> has partnered with <strong>Unicommerce</strong>, one of India’s leading e-commerce enablement SaaS platforms to strengthen its e-commerce operations across the United Arab Emirates and the Kingdom of Saudi Arabia.</p>



<p>The Landmark Group has initially integrated its home decor brand Homebox with Unicommerce and will add more brands moving forward. The arrangement envisages the deployment of Unicommerce’s multi-channel order management and warehouse &amp; inventory management systems to automate order processing.</p>



<p>Unicommerce has a strong footprint in the region with extensive integrations with marketplaces and logistics service providers like Amazon, Noon, FirstCry, Clickpost, Aramex, DHL, and Fedex among many others. Over the years, Unicommerce has added customized services including label printing and invoicing in Arabic language to support domestic companies in managing their orders efficiently.</p>



<p>Unicommerce currently works with over 20 businesses in the region and continues to strengthen its business operations across the UAE and the Kingdom of Saudi Arabia.</p>

<p><strong>HYDERABAD:</strong> Amazon India signed a Memorandum of Understanding (MoU) with ‘The Global Alliance for Mass Entrepreneurship (GAME), to collaborate and promote the digital growth of women entrepreneurs in India, especially in Tier-2, Tier-3 cities, and beyond. Through this partnership, Amazon India will aim to support approximately 25,000 women entrepreneurs and artisans in their digital entrepreneurial journey. GAME is providing inputs in business capacity building, bridging digital marketing skill gaps, and enabling them to aggregate as collected brands. To create platform access and enable financial independence for rural women entrepreneurs and artisans, this initiative will provide the necessary support and resources for them to thrive in the digital landscape.</p>



<p>The MOU between Amazon India and GAME aims to co-develop and facilitate broad-based entrepreneurship to accelerate and sustain the growth of the Micro, Small, and Medium Enterprises (MSMEs) in India. Amazon Karigar &amp; Saheli will offer workshops/training, onboarding, and AM support for sellers involved in this entrepreneurship without any financial investment. This aligns with Amazon&#8217;s commitment to bolster India&#8217;s economy and create millions of sustainable jobs by 2030, through partnerships within the entrepreneurship ecosystem. Further, women entrepreneurs will be provided with hands-on training and support on digital marketing initiatives, performance marketing, product listing optimization, and advertising techniques, equipping them to adapt to current and future trends in the digital marketplace. Additionally, they will gain access to valuable data-driven insights and metrics and get better knowledge of customer behavior and market trends.</p>

Through this partnership, WEE at GAME is supporting Amazon in solving large-scale ecosystem challenges to women&#8217;s economic empowerment with access to training in the digital marketplace as well as research and data about access to new markets.&#8221;</em></p>



<p>Amazon launched its special program for women entrepreneurs, ‘Amazon Saheli’ in 2017, which seeks to bring to the fore locally made products from women entrepreneurs and local women-owned businesses in India. As part of this initiative, Amazon works with partners and women entrepreneurs to drive digitization and to provide requisite tools to women entrepreneurs to enable them to become successful in their digital endeavors. Since its inception, Saheli has digitized over 1.8 million rural, hyperlocal, and urban women-led businesses through its partner network, selling a selection of products such as apparel, jewelry, and groceries, on the e-commerce marketplace. The products are sourced from different (NGOs) across India. More than 80,000+ women artisans are involved in this partnership and benefit from it. The artisans produce and sell these products to support their livelihoods.</p>

The success of Indian exporters on Amazon globally underlines the growing adoption of e-commerce exports amongst micro, small, and medium enterprises (MSMEs) and start-ups across the country.  Several globally popular Indian brands such as Homespun Global, California Design Den, Glamburg, Indo Count, Skillmatics, and Himalaya amongst others participated in <strong>Prime Day</strong> 2023.</p>

This year, we saw thousands of exporters from across the country take lakhs of ‘made in India’ products to customers worldwide. <p><strong>The great demand for Indian products</strong></p>



<p>Amazon customers across markets like North America, Europe, the Middle East, Japan, and others shopped for a range of products from Indian exporters across categories. The highest growth was seen in categories like Beauty, Apparel, Home, Kitchen, Furniture, and Toys amongst others. US, UK, and Middle East drove business growth for Indian exporters this Prime Day; Japan emerged as a new high-growth destination with sellers seeing over 55% business growth YOY respectively.</p>

<p><strong>Building global appeal for Indian products</strong></p>



<p>Ahead of Prime Day 2023, Amazon worked with Indian exporters on Global Selling to identify key shopping trends and bring in relevant product assortment, apart from supporting them in areas like cross-border logistics, payments, etc. to get their inventory ready and recommending a range of deals and advertising options to choose from.</p>
